Nick Greenwood is a shareholder at Parsons Behle & Latimer, with a practice focused on corporate and transactional matters.
Mr. Greenwood has expertise in business matters and corporate transactions, including mergers and acquisitions, debt and equity financings, external general counsel representation, securities issuances, SEC reporting and filings, divestitures, corporate restructurings, and drafting and negotiating customer, supplier and other corporate and business contracts, including software, IT and technology contracts.
In working in these areas Mr. Greenwood has advised companies, individuals, financial providers and sponsors in a broad array of industries, including the biotechnology, communications, energy, finance, healthcare, industrial, private equity, real estate, retail, software, technology and venture capital industries.
By focusing on communicating with each client to determine the client’s goals and expectations, Mr. Greenwood pursues a strategy with the client to meet those goals most effectively and efficiently.
Mr. Greenwood received a joint JD/MBA degree from Columbia University in New York City, where he was a Harlan Fiske Stone scholar and a member of the Business Law Review. With a focus on active community involvement, Mr. Greenwood is a member of the American Bar Association, the Utah Bar and remains a member of the California Bar. Prior to joining Parsons Mr. Greenwood practiced with the international law firm of Gibson Dunn & Crutcher for over seven years in New York and Los Angeles.

Parsons Represents Explosives Manufacturer in Sale of Assets to Strategic Partner
Parsons represented an industrial explosives manufacturer in the sale of a portion of its assets to a strategic partner in the industry, and in connection with the sale the parties amended their existing shareholders agreement. The transaction included the sale of a portion of the company's assets located in the Southern Region including real property, warehouses, office space, equipment and explosives inventory.
Represented Dyno Nobel Inc. in Sale of Commercial Explosives Business to Buckley Powder Co.
Dyno Nobel Inc. successfully closed a sale of its commercial explosives business operating in Tennessee and Alabama to Buckley Powder Co. The sale included property in Alabama and Tennessee, warehouses, office space, explosives and emulsion inventory and equipment. Parsons served as seller's counsel and assisted with negotiating the purchase agreement and related ancillary agreements.
Parsons Represents Software Company in Sale of Assets to Private Equity Platform
Parsons represented a software company in a sale of its assets to a PE-backed platform company. The transaction included the sale of all of the company’s assets as well as equity grant options, related stock option plans and employment agreements.
